These Terms of Service ("Terms") govern your access to and use of the EZFolders platform, websites, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

1. Overview of Services

EZFolders provides AI-powered automation for folder creation on virtual data room platforms such as Dropbox. The service operates under a freemium model:

• Free Plan: a limited number of folder creations per day.
• Premium Plan: enhanced daily limits and additional features.

We may add, modify, or remove features at any time without notice.

2. Eligibility

To use the Services, you must:

• Be at least 18 years old.
• Provide accurate, current, and complete information during registration.
• Have the legal capacity to enter into a binding agreement.
• Agree to comply with these Terms and all applicable laws.

3. Account Registration and Security

Users are responsible for maintaining the confidentiality of their account credentials and ensuring that their account is not misused. Any activities conducted through your account are your sole responsibility. Notify EZFolders immediately if you suspect unauthorized access or misuse of your account.

4. Use of the Service

You may use the Service solely in compliance with these Terms and applicable laws and regulations. By using the Service, you agree to:

• Adhere to any limitations imposed by your subscription tier (e.g., folder creation limits under the Free Plan).
• EZFolders reserves the right to monitor your use of the Service to ensure compliance with these Terms and to suspend or terminate accounts that violate our acceptable use policies.

5. Fair Use Policy

To ensure a high-quality experience for all users, EZFolders implements a fair use policy. Excessive use that disrupts the Service, bypasses folder creation limitations, or involves automation beyond reasonable usage thresholds may result in account suspension or termination.

6. Access to Third-Party Platforms

When you connect EZFolders to third-party platforms (e.g., Dropbox), you grant EZFolders access to your account for the limited purpose of creating folders or subfolders as per your instructions.

• EZFolders does not access, modify, or store the contents of your folders.
• All access is restricted to folder and subfolder creation based on your commands.
• EZFolders complies with the third-party platform's terms of service and privacy policies.
• You remain responsible for your third-party accounts, including maintaining your credentials and ensuring compliance with their terms of service.

7. Payment, Billing and Refunds

For Premium Plan users:

• Fees are billed in advance on a monthly or annual basis, as selected during registration.
• Payment processing is handled by secure third-party providers (e.g., Paddle). EZFolders does not store your payment information.
• Subscription cancellations must be made through your account settings. You may cancel your subscription at any time through your account settings. Upon cancellation, your access to premium features will continue until the end of your billing cycle. No partial refunds will be issued for unused service periods.

8. Intellectual Property Rights

EZFolders retains ownership of all intellectual property rights related to the Service, including but not limited to the software, branding, and any accompanying documentation. Users are granted a limited, non-exclusive, non-transferable license to access and use the Service for personal or organizational purposes.

You retain ownership of any content or data provided through the Service. By using the Service, you grant EZFolders a limited license to process your data as necessary to deliver the Service.

9. Limitation of Liability

The Service is provided "as is" and without warranties of any kind, either express or implied. To the fullest extent permitted by law, EZFolders disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

EZFolders is not liable for:

• Issues caused by third-party platforms.
• User errors or misuse of the Service.
• Any indirect, incidental, or consequential damages arising from your use of the Service.
• The total liability of EZFolders for any claim is limited to the fees paid by you for the Service during the six (6) months preceding the claim.

10. Termination

EZFolders reserves the right to suspend or terminate your account for violations of these Terms or for activities that compromise the integrity of the Service. Upon termination, your access to the Service will cease immediately, but any accrued obligations will survive.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of Israel, without regard to its conflict of laws principles. Any disputes arising under these Terms will be resolved exclusively through binding arbitration in Haifa, Israel. You waive the right to participate in class-action lawsuits.
